Please read these terms carefully before using our services. By accessing or using the DS Africa platform, you agree to be bound by the conditions set out below.

Introduction

Welcome to DS Africa, the primary brand under Dragon Sino Kenya Limited. 'DS Africa' is the consumer-facing name for Dragon Sino Group companies operating across the African continent. We operate an e-commerce platform consisting of a website (marketplace) together with supporting IT, logistics, and payment infrastructure, for the sale of consumer products and services.

By using DS Africa products & services, you agree to be bound by the terms of this Agreement on behalf of yourself and all members of your household and others who use DS Africa products & services under your account. If you do not accept the terms of this Agreement, you may not use the DS Africa products & services and may return your product in accordance with any applicable return policy.

We, 'DS Africa', 'Dragon Sino', 'Dragon Sino Group', 'DSG', or 'Dragon Sino Kenya Limited', refer to the service provider, while 'You', 'Your', or 'Customer' refers to the user or purchaser of our services and products. Please do not use any part of the services if you do not agree with any term of this Agreement.

Definition of Terms

  • Agreement: Refers to these Terms and Conditions, including any additional policies, rules, or guidelines referenced herein.
  • Customer / User / You: The individual or entity accessing or using DS Africa products and services.
  • Products: Items listed for sale on the DS Africa platform, including but not limited to new and refurbished tech equipment, IT support services, and other related consumer goods.
  • Services: All features, functionalities, applications, and other offerings provided by DS Africa through its platform.
  • Marketplace: The e-commerce platform operated by DS Africa for the sale and purchase of products and services.
  • Account: The registered profile created by a user on the DS Africa platform for accessing products and services.
  • Return Policy: The rules and conditions governing the return or exchange of products purchased from DS Africa.
  • Additional Rules: Any supplementary terms, policies, or conditions applicable to specific products or services offered by DS Africa.

Use of Website

  • Eligibility: By using our marketplace or agreeing to these general terms and conditions, you warrant and represent to us that you are at least 18 years of age.
  • Account Responsibility: You are responsible for maintaining the confidentiality of your account details and for all activities conducted under your account. Notify us immediately of any unauthorized use or security breach.
  • Prohibited Activities: You agree not to engage in activities that could harm, disrupt, or interfere with the functioning of our website, such as hacking, transmitting malicious software, or exploiting security vulnerabilities.

  • Termination: We reserve the right to suspend or terminate access to our website at our sole discretion, without notice, if you violate these terms or engage in any activity deemed harmful to our services or users.

Purchases and Payments

  • Pricing: All prices for products and services are displayed in the local currency or USD, subject to change without notice due to market conditions.
  • Order Confirmation: Upon placing an order, you will receive a confirmation email detailing the items purchased, pricing, and estimated delivery time. This email serves as an acknowledgment of your order but does not constitute acceptance.
  • Payment Methods: We accept various payment methods, including credit/debit cards, mobile money, and bank transfers. Additional payment options may be introduced over time.
  • Taxes and Fees: Prices displayed do not include duties and taxes. During checkout, tax rates, shipping costs, and any additional fees (e.g., customs duties) will be calculated based on your location and displayed clearly. Note that duties and taxes are estimates and may vary according to customs regulations in your country.
  • Payment Security: All payments are processed through secure payment gateways to protect your financial information.
  • Refunds and Returns: Refunds for returned items will be processed in accordance with our Return Policy.
  • Failed Payments: If your payment fails, you will be notified immediately, and the order will not be processed until a successful payment is made.
  • Promotions and Discounts: Promotional offers and discounts are subject to their specific terms and conditions. DS Africa reserves the right to modify or withdraw promotions at any time.
  • Billing Errors: In the event of a billing error, please contact our customer support team immediately. We will investigate and resolve the issue promptly.
  • Shipment of Products: Payments must be completed before product shipment.

Return Policy

Returns of products shall be managed by DS Africa in accordance with the returns policy page on the marketplace, as may be amended from time to time. Acceptance of returns shall be at our discretion, subject to compliance with applicable laws of the territory.

Products eligible for return must meet the conditions outlined on the returns policy page, including but not limited to:

  • Condition: Items must be returned in their original condition, unused, and with all packaging and accessories intact.
  • Timeframe: Returns must be initiated within the period specified on the returns page.
  • Proof of Purchase: A valid proof of purchase or receipt must accompany the returned item.
  • Exclusions: Certain items may be non-returnable as specified on the returns page.
  • Return Costs: The costs associated with returning products, including shipping fees, shall be borne by the customer unless otherwise specified.

Refunds for approved returns will be processed in accordance with the method outlined on the returns page. Please note that shipping and handling fees may not be refundable unless otherwise stated.

DS Africa warrants that, where a product sold has such terms, we will provide detailed disclosure of the product terms and conditions, any applicable warranty, and other terms necessary to inform the buyer on the product and its usage in the specification section provided on each product page.

Copyrights and Trademarks

  • Ownership: All content on the DS Africa platform, including but not limited to text, images, logos, trademarks, graphics, software, and other materials, is the property of DS Africa, Dragon Sino Kenya Limited, or its licensors and is protected under applicable copyright and trademark laws.
  • Usage Restrictions: You may not copy, reproduce, distribute, display, modify, create derivative works from, or exploit any content from the platform without prior written permission from DS Africa or the respective rights holders.
  • Trademarks: The "DS Africa", "Dragon Sino" name, logo, and all related product and service names, designs, and slogans are trademarks of Dragon Sino Kenya Limited or its affiliates. Unauthorized use of these trademarks is strictly prohibited.
  • Third-Party Materials: Certain trademarks, service marks, or content displayed on the platform may belong to third parties. Use of these materials must comply with the terms specified by the respective owners.
  • Enforcement: Any unauthorized use of our copyrights or trademarks may result in legal action. For permissions or inquiries, please contact us at the address provided on our website.

Representations & Warranties

9.1 DS Africa Representations

  • We have the legal right and authority to operate the marketplace and provide the products and services offered.
  • We will provide the services with reasonable skill and care, using appropriately qualified and experienced personnel.
  • The marketplace will be operated in substantial conformity with these terms and applicable laws.
  • We will maintain appropriate security measures to protect your personal information.

9.2 Product Representations

  • We will provide accurate descriptions of products, including specifications, features, and conditions where applicable.
  • For refurbished products, we will clearly indicate their refurbished status and provide information about any replaced or repaired components, and the product's current condition.

9.3 Disclaimer of Warranties

We do not warrant that:

  • The marketplace will be uninterrupted or error-free.
  • Defects will be corrected.
  • The marketplace or servers are free of viruses or other harmful components.
  • Information on the marketplace will be complete, reliable, accurate, or current.

9.4 User Warranties

By using our services, you represent and warrant that:

  • You have the legal capacity to enter into these terms and form binding contracts.
  • All information provided by you is true, accurate, and complete.
  • Your use of the marketplace will comply with all applicable laws and regulations.
  • You will not use the marketplace for any fraudulent or illegal purposes.

9.5 Changes to Warranties

We reserve the right to modify, limit, or discontinue any warranty offerings at any time, with such changes applying to future purchases only.

Dispute Resolution

10.1 Amicable Settlement

  • The parties shall first attempt to resolve any dispute arising under this Agreement through amicable settlement.
  • This amicable settlement period shall last for 30 days, starting from the date when the aggrieved party delivers a written dispute notification to the other party.
  • Both parties agree to engage in good faith discussions during this period to reach a mutually satisfactory resolution.

10.2 Arbitration

If the dispute remains unresolved after the 30-day amicable settlement period, the dispute shall be referred to and finally resolved through arbitration conducted:

  • Under the rules of Arbitration of the Nairobi Centre for International Arbitration.
  • By one (1) arbitrator appointed in accordance with these rules.
  • In accordance with the Arbitration Act, 1995 (as amended from time to time).
  • With Nairobi, Kenya as the seat of arbitration, conducted in the English language.

10.3 Continuation of Obligations

During the dispute resolution process, both parties shall:

  • Continue to perform all their obligations under this Agreement.
  • Maintain business operations as usual.
  • Not suspend or delay any contractual obligations unless specifically authorized.

Termination

  • Termination by DS Africa: We reserve the right to terminate or suspend your account and access to our platform at any time, with or without notice, for any reason, including but not limited to violations of these terms and conditions, fraudulent activities, or misuse of our services.
  • Termination by You: You may terminate your account at any time by contacting our customer support team or through the account settings on the platform. Upon termination, you must discontinue all use of the platform and its services.

11.1 Good Faith

The parties shall exercise good faith, honesty, and fair dealing in all their interactions under this Agreement.

Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Kenya.

Entire Agreement

  • They have read and understood this Agreement.
  • They are not relying on any representations not contained in this Agreement.
  • This Agreement reflects their complete understanding and agreement.

Privacy

Your personal data is collected and used in line with our Privacy Policy.

Changes to Terms

We reserve the right to update these terms at any time. Continued use of the site indicates acceptance of the latest version.
